Terms of Use

These terms of use (the "Terms")form a binding agreement between you and TALKIT OUT MAKING THE WORLD SPIN BETTER LTD ("we", "us",or "our"), the provider of the TiO mobile application(the "App"), the TiO website at talktotio.com (the "Website"),and the voice-coaching service delivered through the App (together, the "Service").References to "TiO" mean the entity named above.

1. provider

The Service is provided by TALK IT OUT MAKING THE WORLD SPIN BETTER LTD a company registered in The United Kingdom undernumber 12577239, with its registered office at Rhode Hill House, RhodeLane, Uplyme, Lyme Regis, Dorset, United Kingdom, DT7 3TY. You can contact us about these Terms at support@talkitout.app.

2. acceptance

By accessing or using the Website,or by downloading, installing, creating an account for, purchasing, or usingthe App, you agree to these Terms and to our Privacy Policy, which isincorporated by reference. If you do not agree, do not use the Website ordownload, install, purchase, or use the App.

3. description of the Service

The Website provides informationabout TiO and may allow you to contact us or enquire about individual, team, ororganisational use.

The Service is a voice-basedjournaling app that generates coaching insights from what you say. You speakfor a few minutes about what is on your mind. Your speech is processed andtranscribed to text in real time by our service providers, and the App generatesemotional-tone signals, written insights, and suggested actions from thattranscript. We do not retain your voice audio in your journal or our primaryapplication database. We store the resulting transcript and the derivedsignals, insights, and actions. Sections 6 (User Content) and the PrivacyPolicy describe how this data is processed.

4. eligability and Age

You must be at least 18 years oldto use the App. By using the App, you confirm that you are 18 or older. The Appand voice-coaching Service are not intended for anyone under 18, and we do notknowingly create accounts for or collect Service data from people under 18.

5. your account

You are responsible for keepingyour account secure and for all activity under it. You agree to provideaccurate account information and to keep it current. Do not share your accountcredentials. Tell us promptly at support@talkitout.app if you believe your account has been accessedwithout your authorisation.

6. user Content and licences

6.1 Ownership. You keep ownership of the content you create throughthe Service, including your transcripts, the emotion signals derived from yourvoice, and your insights, actions, takeaways, and moves (your "Content").

6.2 What we store. Your voice is processed and transcribed in real timeby our service providers. We store the resulting transcript and emotion signalsas your journal. We do not retain your voice audio in the journal or ourprimary application database. Provider-side processing and retention aredescribed in the Privacy Policy.

6.3 Service licence. You grant us a non-exclusive, worldwide,royalty-free licence to host, process, and display your Content solely tooperate and provide the Service to you, including to generate insights andsuggested actions and to keep your history across sessions.

6.4 Research licence (separate,explicit consent). Only if youseparately opt in to research, through the consent process described in thePrivacy Policy and not merely by accepting these Terms, you grant us anon-exclusive, worldwide, royalty-free licence to keep and use a pseudonymouscopy of your transcripts and emotion signals to research and improve ourproducts. Declining research consent does not prevent you from using the coreService. You may withdraw research consent at any time, which stops furtherresearch use, and you may request erasure of the existing research copyat support@talkitout.app. Theresearch copy is not deleted automatically when you delete your account; youmay request its erasure separately using the contact address above. This researchlicence is independent of, and separately revocable from, the service licencein clause 6.3.

6.5 No sale. We do not sell your content.

7. automated and AI-Generated content

The insights, emotional-toneanalysis, and suggested actions produced by the Service are generated byautomated systems. They may be inaccurate or incomplete and are notprofessional, medical, legal, or financial advice. You decide what to do withthem, and you are responsible for any decisions you take based on them. TheService does not make any decision that produces legal or similarly significanteffects on you.

8. subscriptions billing, and refunds

8.1 Plans. The App offers auto-renewing subscriptions at 60,120, 180, and 240 minutes per month, on monthly and annual billing cycles.Current prices for each plan and cycle are shown in the App at the point ofpurchase, they are:

● 60 Minutes p/m: £5.99

● 120 Minutes p/m: £11.99

● 180 Minutes p/m: £17.99

● 240 Minutes p/m: £23.99

● 60 Minutes p/m, billed annually:£59.99 per year

● 120 Minutes p/m, billed annually:£119.99 per year

● 180 Minutes p/m, billed annually:£179.99 per year

● 240 Minutes p/m, billed annually:£239.99 per year

8.2 Billing through Apple. Purchases are processed by Apple through your AppleID. Payment is charged to your Apple ID account when you confirm the purchase.

8.3 Automatic renewal. Subscriptions renew automatically for the sameperiod unless you turn off auto-renewal at least 24 hours before the currentperiod ends. Your Apple ID is charged for the renewal within the 24 hoursbefore the current period ends. You can manage or cancel your subscription inyour Apple ID settings. Cancelling stops future renewals; it does not refundthe current period.

8.4 Refunds. Purchases and refunds are handled by Apple inaccordance with Apple's terms. Refund requests are made to Apple atreportaproblem.apple.com.

9. cancellation and right or withdrawl

‍(UK, EU, and EEA Consumers)

If you are a consumer in the UK,EU, or EEA, you may have a statutory right to cancel or withdraw from asubscription within 14 days, subject to the rules that apply to the type ofdigital content or service supplied and to any lawful request for immediatesupply. Before supply begins, we or Apple will seek any express request,consent, or acknowledgement required by applicable law. Nothing in these Termslimits a cancellation, refund, or withdrawal right that the law gives you.Where Apple is the seller of record, refund requests are handled through Apple.

10. acceptaBLE and safe use

You agree not to:

● use the Website, App, or Servicefor any unlawful purpose;

● reverse engineer, decompile, ormodify the App, except to the extent this restriction is prohibited by law;

● interfere with or circumvent thesecurity features of the Website, App, or Service;

● use any automated system to accessthe Website, App, or Service in a way that imposes an unreasonable load,scrapes protected content, or bypasses access controls;

● share your account credentialswith any other person; or

● upload, submit, or transmitcontent that is unlawful or that infringes the rights of others.

Safety while using the App. Do not start or continue a recording, read insights,or otherwise interact with the App while driving, operating machinery, crossinga road, or doing anything else that requires your full attention. Stop usingthe App if it distracts you or creates a safety risk.

11. intellectual property and third-party links

11.1 Our intellectual property. The Website, App, and Service, including theirsoftware, text, design, graphics, branding, and features, but excluding yourContent, are owned by TALK IT OUT MAKING THE WORLD SPIN BETTER LTD or our licensors and are protected byintellectual-property laws. We grant you a limited, personal, non-transferable,non-exclusive, revocable licence to access the Website and use the App for yourown lawful use in accordance with these Terms. You may not copy, modify,distribute, sell, license, or create derivative works from the Website, App, orService without our written permission, except where the law permits it.

11.2 Third-party links andservices. The Website or App may linkto websites, services, crisis resources, or content operated by third parties.We do not control those third parties, and their own terms and privacy noticesapply. A link does not mean that we endorse or accept responsibility for thethird party, except where the law provides otherwise.

12. not medical advice or crisis support

The Service and Website contentare self-reflection and wellbeing tools. They are not medical devices, and theydo not diagnose, treat, cure, or prevent any condition. Using them does notcreate a therapeutic, counselling, or doctor-patient relationship. The Serviceis not intended for use during a crisis. If you are in crisis, or you may harmyourself or another person, contact your local emergency services now (112 inthe EU, 999 in the UK, or 988 in the US) or a qualified professional.

13. discalaimer of warranties

The Website, App, and Service areprovided "as is" and "as available", to the extentpermitted by law. We do not warrant that the Service will be uninterrupted,error-free, or fit for any particular purpose. Nothing in these Terms excludesor limits your statutory rights as a consumer, including any right to a servicethat conforms to what was described. The "as is" wording applies onlyto the extent the law allows.

14. limitations of liability

To the extent permitted by law, weexclude all conditions, warranties, representations or other terms which mayapply to our site or any content on it including potential future functionalityor features and the expected lifetime of the Services, whether express orimplied.

We will not be liable to any user(nor, in the case of a corporate subscription, the company that is party tothat subscription) for any loss or damage, whether in contract, tort (includingnegligence), breach of statutory duty, or otherwise, even if foreseeable,arising under or in connection with:

● use of, or inability to use, oursite;

● use of or reliance on any contentdisplayed on our site;

● loss of profits, sales, business,or revenue;

● business interruption;

● loss of anticipated savings;

● loss of business opportunity,goodwill or reputation; or

● any indirect or consequential lossor damage.

We will not be liable for any lossor damage caused by a virus, distributed denial-of-service attack, or othertechnologically harmful material that may infect your computer equipment,computer programs, data or other proprietary material due to your use of oursite or to your downloading of any content on it, or on any website linked toit.

We assume no responsibility forthe content of websites linked on our site. Such links should not beinterpreted as endorsement by us of those linked websites. We will not beliable for any loss or damage that may arise from your use of them.

The views expressed by other userson our site do not represent our views or values.

15. termination Introduction to our Terms

You may stop using the Website orApp at any time and may delete your account and journal in Settings usingDelete Account. We may suspend or end your access to the App or account if youmaterially breach these Terms or misuse the Service. On termination, your datais handled as described in the Privacy Policy. Clauses that by their natureshould survive termination, including clauses 6, 11, 13, 14, and 18, survive.

16. APple-Specofoc Terms

These Terms are between you and TALK IT OUT MAKING THE WORLD SPIN BETTER LTD, not Apple. Apple is not responsible for the App or itscontent, and Apple has no obligation to provide any maintenance or support forthe App. Apple is not responsible for addressing any claim relating to the App,including product-liability claims, claims that the App fails to conform to anylegal or regulatory requirement, and claims arising under consumer-protectionor similar law. Apple and its subsidiaries are third-party beneficiaries ofthese Terms and may enforce them against you. You confirm that you are notlocated in a country subject to a US Government embargo or designated as a"terrorist supporting" country, and that you are not listed on any USGovernment list of prohibited or restricted parties.

17 changes to these terms

We may update these Terms. We willpost the updated Terms on the Website and in the App, where applicable, with anew effective date. We will notify you of material changes through the App, byemail, or through another appropriate channel. If a change materially affectsyour rights, we will give notice and, where the law requires it, obtain yourconsent or renewed acceptance. Continued use after an update takes effect meansyou accept the updated Terms only to the extent that applicable law allowsacceptance in that way.

18. governing law and disputes

General Disputes: We will try to resolve anydisputes with you quickly and efficiently. If you are unhappy with us, pleasecontact us as soon as possible using the contact details set out at the top ofthis page.

Applicable Law: These terms of website use, its subject matter and its formation, aregoverned by English law. You and we both agree to that the courts of Englandand Wales will have exclusive jurisdiction.

19. general

Severability. If any provision of these Terms is heldunenforceable, the remaining provisions continue in full effect.

Entire agreement. These Terms and the Privacy Policy are the entireagreement between you and us regarding your use of the Website, App, andService, except for any separate written business or organisational agreementthat applies to you.

No waiver. Our failure to enforce any provision is not a waiverof it.

Assignment. We may assign these Terms in connection with amerger, acquisition, or sale of assets. You may not assign your rights orobligations under these Terms without our consent.

Force majeure. We are not liable for any failure or delay caused byevents beyond our reasonable control.
